HEALTHYCHEF TERMS & CONDITIONS

These Terms & Conditions ("Terms") govern the use of the HealthyChef website, mobile application, products, meal subscriptions, nutrition consultations, and related services operated by Twelve Four Ventures LLP, operating under the brand name HealthyChef ("HealthyChef", "Company", "we", "us", or "our").

By accessing, registering on, subscribing to, purchasing from, or using any HealthyChef services, you agree to be bound by these Terms.

1. ACCEPTANCE OF TERMS

By accessing or using HealthyChef’s website, mobile application, meal services, nutrition consultation services or any related offering, you acknowledge that: • You have read and understood these Terms. • You agree to comply with these Terms. • You are legally capable of entering into a binding agreement. • You agree to provide accurate and complete information where required. • You consent to the collection and processing of your information in accordance with our Privacy Policy. If you do not agree with these Terms, you must discontinue use of HealthyChef services. HealthyChef reserves the right to amend, update or modify these Terms from time to time. Changes will become effective when published on the website or application. Continued use of HealthyChef services after such changes constitutes acceptance of the revised Terms.

2. ELIGIBILITY

You must be at least 18 years old to independently subscribe to or purchase HealthyChef services. Where services are being purchased or used for a minor, the parent or legal guardian accepts responsibility for the minor’s use of the services and compliance with these Terms. Corporate customers represent and warrant that they have the authority to act on behalf of the organisation they represent.

3. ACCOUNT REGISTRATION

Certain HealthyChef services may require you to create an account using a mobile number, email address or other credentials. You agree to: • Provide accurate, complete and current information. • Keep your information updated. • Maintain the confidentiality of your account credentials. • Be responsible for activities conducted through your account. • Notify HealthyChef promptly if you suspect unauthorised access to your account. HealthyChef may suspend or terminate accounts containing false, misleading, incomplete or fraudulent information.

4. SERVICES PROVIDED

HealthyChef may provide, among other services: • Meal subscription plans. • Individual meal purchases. • Nutrition consultations. • Corporate meal services. • Wellness programs. • Fitness-related nutrition support. • Mobile application services. • Website-based services. • Other nutrition or wellness-related services introduced from time to time. HealthyChef reserves the right to introduce, modify, suspend or discontinue any service, plan, feature, menu, recipe or offering where reasonably necessary.

5. MEAL SUBSCRIPTIONS

HealthyChef offers subscription plans for different durations, meal quantities and nutrition goals. Subscription plans may differ in: • Number of meals. • Meal frequency. • Duration. • Pricing. • Nutrition targets. • Customisation. • Delivery arrangements. • Included benefits. • Promotional offers. The specific details applicable to a customer’s subscription will be communicated at the time of purchase or through the customer’s HealthyChef account. Subscription pricing may vary based on the duration of the plan, promotional offers, meal requirements and other factors.

6. MEAL PREPARATION & CUSTOMISATION

HealthyChef prepares meals based on the information, preferences, dietary requirements and instructions provided by the customer. Customers are responsible for reviewing the information they provide and ensuring that all relevant requirements are communicated accurately. HealthyChef may make reasonable ingredient or meal substitutions due to: • Ingredient availability. • Seasonality. • Quality considerations. • Food safety. • Supply chain disruptions. • Operational requirements. • Other circumstances reasonably affecting meal preparation. Where a substitution is necessary, HealthyChef will endeavour to provide a reasonably suitable alternative consistent with the customer’s recorded requirements. Due to the scale and nature of food preparation, minor variations in taste, appearance, colour, texture, portion presentation or ingredients may occur.

7. NUTRITION CONSULTATION SERVICES

HealthyChef nutrition consultations are intended for general wellness, nutrition education and lifestyle guidance. HealthyChef and its nutrition professionals: • Are not a replacement for medical practitioners. • Do not diagnose diseases. • Do not prescribe medication. • Do not replace medical treatment. • Do not guarantee medical outcomes. Customers should consult a qualified medical professional before beginning any nutrition or dietary program where appropriate. Any decision made based on nutrition or wellness guidance provided by HealthyChef remains the customer’s responsibility.

8. HEALTH & MEDICAL INFORMATION

Customers are responsible for providing accurate and complete information regarding: • Allergies. • Food intolerances. • Medical conditions. • Medications. • Pregnancy. • Dietary restrictions. • Food preferences relevant to their plan. • Other health information that may affect meal suitability. HealthyChef relies on the information provided by the customer when designing and preparing meals. HealthyChef cannot be held responsible for issues arising from information that is inaccurate, incomplete, outdated, withheld or not communicated to HealthyChef before meal preparation. Where a customer’s health or dietary requirements change during an active subscription, the customer should notify HealthyChef promptly.

9. ALLERGY & CROSS-CONTAMINATION DISCLAIMER

HealthyChef prepares meals in facilities where ingredients including, but not limited to, the following may be handled: • Dairy. • Nuts. • Soy. • Gluten. • Eggs. • Sesame. • Other allergens. Although reasonable precautions are taken, HealthyChef cannot guarantee a completely allergen-free environment. Customers with severe or life-threatening allergies should consult their medical professional before consuming HealthyChef meals and should exercise appropriate caution. HealthyChef must be informed of all known allergies before meal preparation.

10. MEAL PLAN CHANGES

Customers may request reasonable changes to their meal plan, subject to: • The applicable plan. • Availability. • Nutrition requirements. • Operational feasibility. • The applicable change cut-off. HealthyChef may not be able to accommodate requests received after the applicable cut-off or after a meal has entered preparation. Where a requested change cannot reasonably be accommodated, HealthyChef will communicate the available alternatives where possible.

11. PAUSE, SKIP & RESCHEDULING POLICY

Customers may pause, skip or reschedule meals in accordance with HealthyChef’s applicable pause and change policies. All requests must be submitted within the cut-off time communicated by HealthyChef. Requests received after the applicable cut-off may not be accepted. No retrospective pause, skip, extension, credit or refund will ordinarily be provided where the applicable deadline has been missed. Where complimentary or promotional meals are linked to a primary subscription, HealthyChef may automatically adjust, pause or reschedule such benefits when the primary subscription is paused.

12. DELIVERY TERMS

HealthyChef delivers within selected serviceable locations. Delivery timings communicated by HealthyChef are designated delivery windows and may be subject to reasonable variation. Delays may occur due to: • Traffic. • Weather. • Vehicle breakdowns. • Delivery partner availability. • Operational constraints. • Road or infrastructure conditions. • Government restrictions. • Force majeure events. • Other circumstances beyond reasonable operational control. HealthyChef will make reasonable efforts to complete deliveries within the communicated delivery window but does not guarantee an exact delivery time.

13. ACCEPTANCE OF DELIVERY

A meal will be considered delivered when handed over to: • The customer. • A family member. • Reception staff. • Security personnel. • A colleague. • A person present at the delivery location. • Any person reasonably believed to be authorised by the customer. Customers are responsible for providing accurate delivery instructions and ensuring that an appropriate recipient is available where required. If the delivery partner is unable to contact the customer or an authorised recipient despite reasonable attempts, the delivery may be considered successfully attempted or completed. HealthyChef will not ordinarily be responsible for loss, theft, contamination, spoilage or misplacement occurring after successful delivery or after the meal has been left at the customer’s designated location in accordance with their instructions.

14. FOOD STORAGE & CONSUMPTION

Customers are responsible for storing and consuming meals appropriately after delivery. Unless otherwise instructed, meals should be: • Refrigerated promptly where required. • Stored in accordance with the instructions provided by HealthyChef. • Consumed within the recommended period. HealthyChef is not responsible for spoilage, contamination, deterioration or other quality issues arising after delivery due to improper storage, handling, reheating or delayed consumption.

15. REFUNDS, CANCELLATIONS & RESOLUTION-FIRST POLICY

HealthyChef follows a Resolution First approach. We understand that issues can sometimes arise during a meal subscription. Our first priority is to understand the issue and provide an appropriate resolution rather than automatically cancelling a subscription or issuing a refund. Depending on the circumstances, a resolution may include a replacement meal, meal credit, subscription extension, pause, plan modification, rescheduling, account credit or, where appropriate, a refund. Refunds are considered only where a refund is an appropriate remedy under this Policy. This Policy applies consistently to all subscription durations, including 4-week, 6-week, 8-week, 10-week, 12-week and other subscription periods. 15.1 What Is a Resolution? A “Resolution” means an appropriate corrective action taken by HealthyChef to address a customer concern without necessarily cancelling the subscription or refunding the subscription value. Depending on the circumstances, a Resolution may include: • Replacement of an incorrect, missing or damaged meal. • Replacement of a meal affected by a verified quality issue. • Credit for an affected meal. • Addition of a meal to the customer’s subscription. • Subscription extension. • Pause or rescheduling. • Correction or modification of the customer’s meal plan. • Adjustment of future meals. • Transfer to another suitable HealthyChef plan. • Account credit. • Another reasonable corrective action. HealthyChef will determine the appropriate resolution based on the nature, severity and circumstances of the issue. 15.2 Situations Where Resolution Will Ordinarily Be Provided A. Wrong Meal Delivered If a customer receives a meal different from the meal confirmed in their plan, HealthyChef may provide a replacement meal, meal credit, additional meal or another appropriate resolution. A full subscription refund will not ordinarily be provided for an isolated incorrect meal. B. Missing Meal If a scheduled meal is not delivered due to an error attributable to HealthyChef, HealthyChef will generally provide a replacement meal, additional meal, meal credit or another appropriate resolution. C. Damaged or Spilled Meal Where a meal is materially damaged or spilled before or during delivery due to an issue attributable to HealthyChef or its delivery process, HealthyChef may provide a replacement, credit or another appropriate resolution. D. Verified Food Quality Issue If a customer reports that a meal appears spoiled, unsafe or otherwise unfit for consumption at the time of delivery, HealthyChef will investigate the issue. Where the issue is verified or reasonably established to be attributable to HealthyChef, an appropriate resolution may include replacement, credit, extension or a refund for the affected meal. Customers should not consume meals they reasonably believe may be unsafe. E. Recorded Allergen or Dietary Restriction Issue If a meal contains an ingredient that was correctly and specifically disclosed to HealthyChef as an allergy or mandatory dietary restriction before preparation, the customer should contact HealthyChef immediately. Depending on the circumstances, HealthyChef may provide a replacement, credit, extension, refund for the affected meal or another appropriate resolution. F. Taste or Preference Concerns Taste is subjective. Concerns relating solely to: • Taste. • Spice level. • Personal preference. • Dislike of a particular ingredient. • Dislike of a particular dish. • Appearance. • Colour. • Texture. • Portion perception. will ordinarily be addressed through feedback, future meal adjustments or other operational solutions where possible. Such concerns will not ordinarily qualify for a refund. G. Menu or Ingredient Substitution HealthyChef may occasionally substitute an ingredient or meal due to seasonality, availability, quality, food safety, supply chain or operational requirements. Where the substitute remains reasonably consistent with the customer’s confirmed dietary requirements, a refund will not ordinarily be provided. H. Delivery Delay A delivery delay does not automatically qualify for a refund. Where a significant delay is attributable to HealthyChef and materially affects the meal, HealthyChef may provide an appropriate resolution based on the circumstances. 15.3 Situations Where a Refund May Be Considered A. Early Cancellation of an Active Subscription A customer may request cancellation of an active subscription. Where the cancellation is eligible for a refund, the calculation in Section 15.5 will apply. B. Relocation Outside the Serviceable Area If a customer moves to a location where HealthyChef does not currently provide service, the customer may request cancellation. The standard refund calculation will apply. Moving outside the serviceable area does not automatically waive the cancellation charge. Where reasonably possible, HealthyChef may offer alternatives such as a pause, extension, plan adjustment or transfer of eligible unused value. C. Material Change in Health or Dietary Requirements If a customer’s health condition or dietary requirements materially change and they are no longer able or advised to continue with their existing subscription, they may request cancellation. HealthyChef may request reasonable supporting information where necessary. Before cancellation, HealthyChef may consider whether the subscription can reasonably be modified, paused, rescheduled or changed to another suitable plan. If cancellation is chosen and a refund is applicable, the standard refund calculation will apply. A change in health condition does not automatically result in a full refund or waiver of the cancellation charge. D. HealthyChef Unable to Continue Service If HealthyChef is unable to continue providing the subscribed service for reasons attributable to HealthyChef, the customer will be eligible for an appropriate remedy for the affected unused portion of the subscription. This may include a refund, extension, credit, rescheduling, alternative service or another appropriate resolution. Where the issue is solely attributable to HealthyChef’s inability to provide the service, the standard customer cancellation charge will not ordinarily apply to the affected unused portion. E. Repeated or Material Service Failure Where HealthyChef has been unable to provide the subscribed service as reasonably agreed and the issue cannot be adequately resolved through replacement, credit, extension or another reasonable remedy, HealthyChef may consider a refund for the affected portion or cancellation and refund of the eligible remaining subscription value. The appropriate remedy will depend on the circumstances and extent of the service failure. 15.4 Situations Where Refunds Will Generally Not Be Provided Refunds will generally not be provided where: • The customer simply changes their mind after purchasing. • The customer does not like the taste of a meal. • The customer dislikes a particular ingredient or dish. • The customer does not consume a meal for personal reasons. • The customer travels without following the applicable pause procedure. • The customer forgets to pause or skip a meal before the applicable cut-off. • The customer is unavailable to receive the delivery. • The customer provides incorrect or incomplete delivery information. • The meal has already been prepared and dispatched. • The customer requests a change after the applicable cut-off. • The customer changes their personal dietary preference after preparation. • The customer does not achieve their expected weight, fitness or health outcome. • The issue is subjective and does not constitute a material service or meal-quality failure. Where appropriate, HealthyChef may still offer a non-refund resolution. 15.5 Standard Refund Calculation Where a refund is approved or applicable under this Policy, the same basic calculation will apply regardless of subscription duration. All meals already consumed, prepared or dispatched will be valued at the current regular 4-week plan price applicable to the customer’s meal plan on the date HealthyChef receives the complete cancellation request. No promotional or subscription-duration discount will be applied to the calculation. The calculation is: Amount Paid − Current Regular 4-Week Value of Meals Consumed, Prepared or Dispatched − Other Applicable Account Adjustments = Refundable Balance − 20% Cancellation Charge = Final Refund The 20% cancellation charge applies to the refundable balance remaining after the applicable deductions above. The calculation applies regardless of whether the customer originally purchased a 4-week, 6-week, 8-week, 10-week, 12-week or other subscription duration. 15.6 Current Pricing Used for Refund Calculation The current price means the regular publicly applicable 4-week price for the relevant meal plan on the date HealthyChef receives the customer’s complete cancellation request. The calculation will not use: • The original purchase price. • The original subscription discount. • A longer-duration subscription discount. • A promotional price. • A coupon. • A referral discount. • A cashback benefit. • Any other promotional reduction. If HealthyChef changes its regular pricing after receiving a complete cancellation request, that later price change will not affect the calculation for that cancellation request. 15.7 Complimentary & Promotional Benefits Complimentary meals, bonus meals, free days, promotional credits and similar benefits do not have a separate cash value unless expressly stated otherwise. Such benefits will not ordinarily be converted into cash or included as an additional refundable amount. HealthyChef may adjust the refund calculation where necessary to account for promotional benefits attached to the subscription. 15.8 What Counts as a Consumed Meal For refund purposes, a meal will be considered consumed where it has been: • Successfully delivered. • Delivered to an authorised recipient. • Prepared and dispatched but the customer was unavailable. • Prepared pursuant to a request that was not cancelled within the applicable cut-off. • Specifically prepared for the customer and cannot reasonably be reallocated or resold. A meal does not need to be physically eaten by the customer to be treated as consumed for refund calculation. 15.9 Refund Processing Once a refund has been approved and the final amount confirmed, HealthyChef will initiate the refund within 7–10 working days. The time taken for the refund to reflect in the customer’s bank account or original payment method may vary depending on the payment gateway, bank or payment provider. Refunds will ordinarily be made to the original payment method used for the purchase. 15.10 Reporting a Meal or Service Issue Customers should report meal-quality, missing-meal, wrong-meal, damage or delivery-related concerns as soon as reasonably possible and preferably within 4 hours of delivery. Where applicable, customers should provide photographs, order details and a brief description of the issue. Failure to report an issue within a reasonable time may affect HealthyChef’s ability to verify the issue and provide an appropriate resolution. 15.11 Resolution Before Refund HealthyChef’s objective is to resolve genuine customer concerns fairly and promptly. Where an issue can reasonably be resolved through a replacement, credit, extension, pause, plan modification or another appropriate remedy, HealthyChef may offer such resolution instead of cancelling the subscription or issuing a refund. Where the circumstances reasonably justify a refund, HealthyChef will process the applicable refund in accordance with this Policy. Nothing in this section limits any mandatory rights or remedies available to a customer under applicable law.

16. PRICING & PAYMENTS

Prices displayed by HealthyChef may change from time to time. The applicable price at the time of purchase will ordinarily apply to that transaction. HealthyChef reserves the right to correct pricing errors, technical errors or inaccurate promotional displays. In the event of an incorrect price display, HealthyChef may: • Cancel the affected transaction and refund any amount paid; or • Request payment of the applicable difference before fulfilment. Customers are responsible for ensuring that payments are completed successfully. HealthyChef may suspend or restrict services where payments fail, are reversed or remain disputed.

17. CHARGEBACKS & PAYMENT DISPUTES

Customers agree to contact HealthyChef and provide a reasonable opportunity to resolve payment-related concerns before initiating a chargeback or payment dispute. Fraudulent, abusive or repeated chargebacks may result in: • Suspension of services. • Account termination. • Restriction from future purchases. • Recovery proceedings where legally appropriate. Nothing in this section prevents a customer from exercising any rights available under applicable law or through their payment provider.

18. REFERRALS, WALLET CREDITS & PROMOTIONAL BENEFITS

HealthyChef may offer referral programs, wallet credits, cashback, promotional benefits or rewards from time to time. Unless otherwise specified in the applicable offer: • Promotional benefits are subject to their stated terms. • Benefits may not be exchanged for cash. • Benefits may not be transferable. • HealthyChef may modify, suspend or discontinue promotional programs. • Abuse, manipulation or misuse of promotional benefits may result in cancellation of the benefits and suspension of the account.

19. HEALTH & RESULTS DISCLAIMER

HealthyChef does not guarantee: • Weight loss. • Fat loss. • Muscle gain. • Disease reversal. • Blood sugar improvement. • Hormonal improvement. • Body composition changes. • Any specific health or fitness outcome. Results vary between individuals and depend on factors including nutrition adherence, physical activity, sleep, stress, genetics, medications and existing health conditions. Any results, testimonials, examples or representations shared by HealthyChef are illustrative and do not constitute a guarantee of individual results.

20. INTELLECTUAL PROPERTY

All content and materials provided through HealthyChef, including: • Website content. • Application content. • Meal plans. • Recipes. • Nutrition materials. • Designs. • Logos. • Trademarks. • Software. • Text. • Graphics. • Images. • Videos. • Other proprietary materials. are owned by HealthyChef or its licensors unless otherwise stated. Users may not copy, reproduce, distribute, modify, reverse engineer, commercially exploit or otherwise use HealthyChef intellectual property without prior written permission.

21. PROHIBITED CONDUCT

Customers must not: • Violate applicable laws. • Provide fraudulent or misleading information. • Abuse or threaten HealthyChef employees, nutritionists, delivery personnel or partners. • Harass staff or service providers. • Engage in fraudulent transactions. • Attempt unauthorised access to HealthyChef systems. • Reverse engineer HealthyChef software. • Scrape or extract website or application data using automated systems. • Abuse promotional programs. • Use HealthyChef services for unlawful purposes. HealthyChef may suspend or terminate access where necessary due to serious or repeated violations.

22. THIRD-PARTY SERVICES

HealthyChef may use third-party providers for: • Payment processing. • Delivery. • Messaging. • Hosting. • Analytics. • Communication. • Consultation scheduling. • Technology infrastructure. HealthyChef will make reasonable efforts to work with reliable service providers but may not be responsible for failures, interruptions or actions attributable solely to third-party providers.

23. COMMUNICATION CONSENT

By registering with or purchasing from HealthyChef, customers consent to receiving service-related communications through: • Phone calls. • SMS. • WhatsApp. • Email. • Push notifications. • Other communication channels used by HealthyChef. These communications may relate to: • Deliveries. • Orders. • Payments. • Subscription status. • Consultations. • Meal plans. • Service updates. • Operational communications. • Customer support. Promotional communications will be handled in accordance with applicable communication preferences and law.

24. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, HealthyChef will not be liable for indirect, incidental, consequential, special or punitive damages, loss of profits, loss of opportunities or other indirect losses arising from the use of or inability to use HealthyChef services. HealthyChef does not accept responsibility for health outcomes resulting from the use of its meal or nutrition services where such outcomes arise from factors outside HealthyChef’s reasonable control, inaccurate information supplied by the customer, failure to follow instructions or individual health circumstances. To the fullest extent permitted by law, HealthyChef’s aggregate liability arising from a customer’s use of the services will not exceed the amount actually paid by that customer to HealthyChef for the relevant service giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

25. INDEMNIFICATION

Customers agree to indemnify and hold harmless HealthyChef, Twelve Four Ventures LLP, its founders, employees, nutritionists, contractors, affiliates, service providers and partners against claims, losses, liabilities, damages, costs or expenses arising from: • Breach of these Terms. • Misrepresentation or omission of health information. • Misuse of HealthyChef services. • Violation of applicable law. • Fraudulent or abusive conduct. • Third-party claims arising from the customer’s conduct. This indemnification will apply to the extent permitted by applicable law.

26. FORCE MAJEURE

HealthyChef will not be liable for delay, interruption, suspension or inability to perform its obligations where caused by circumstances beyond its reasonable control, including: • Natural disasters. • Floods. • Fires. • Pandemics. • Epidemics. • Government restrictions. • Lockdowns. • Labour disruptions. • Civil unrest. • War or similar events. • Transportation disruptions. • Significant supply chain disruptions. • Utility failures. • Technology or infrastructure failures. • Other force majeure circumstances. In such circumstances, HealthyChef may suspend, modify, reschedule or extend services where reasonably possible. Where HealthyChef is unable to provide the affected service for an extended period, it may provide an appropriate resolution in accordance with these Terms and applicable law.

27. TERMINATION OF SERVICES

HealthyChef may suspend or terminate a customer’s account or services where the customer: • Commits fraud. • Abuses or threatens staff. • Repeatedly violates these Terms. • Misuses promotional programs. • Initiates abusive chargebacks. • Provides materially false information. • Engages in unlawful conduct. • Attempts unauthorised access or misuse of HealthyChef systems. Where appropriate and reasonably possible, HealthyChef may provide notice before termination. Any refund arising from termination will be determined in accordance with these Terms and applicable law.

28. GOVERNING LAW

These Terms shall be governed by and interpreted in accordance with the laws of India.

29. DISPUTE RESOLUTION

HealthyChef and the customer will first attempt to resolve any dispute through good-faith communication and reasonable efforts to reach a mutually acceptable resolution. Where a dispute cannot be resolved through such discussions, it may be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended from time to time. The seat and venue of arbitration shall be Bengaluru, Karnataka, India. The arbitration proceedings shall be conducted in English. Nothing in this section prevents either party from seeking any urgent or mandatory remedy available under applicable law.

30. SEVERABILITY

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision shall be modified or severed to the minimum extent necessary, and the remaining provisions shall continue to remain valid and enforceable.

31. ENTIRE AGREEMENT

These Terms, together with the HealthyChef Privacy Policy and any other policies or terms expressly incorporated by reference, constitute the entire agreement between the customer and HealthyChef regarding the use of the services. Where specific terms are provided for a particular product, subscription, promotional offer or service, those specific terms will apply to the extent of any inconsistency with these general Terms.
